This document is published in accordance with the provisions of rule 3(1) of the information technology (intermediaries guidelines) rules, 2011 that require publishing the rules and regulations, privacy policy and terms of use for access or usage of the www.NRIHelpLine.com website (the “website”).

These terms of use, collectively referred to as the “terms,” constitute the legal agreement between BraveHeart Solutions Pvt. Ltd. (‘NRIHelpLine’), operating as www.NRIHelpLine.com (“NRIHelpLine ,” “we,” or “us”), and each end user (the “user,” “you,” or “your”) regarding the access to and utilization of our associated internet properties, as linked and presented by us, our subsidiaries, and affiliated companies. Additionally, these terms encompass any other legal documents incorporated by reference. The scope of this agreement extends to the site, inclusive of any software provided for download on your mobile devices (“mobile apps”).

Unless explicitly stated otherwise, all mentions of the Site encompass the use of our online platform, materials, proprietary content, tools, software, and services made available through the Site, collectively referred to as the “Service.”

Once you click on the ‘Sign Up ’ button while registering on the mobile application or if you browse on www.NRIHelpLine.com, these Terms and Conditions (the/ these ‘Terms’ or the ‘Agreement’) shall constitute a binding legal agreement between you(the ‘USER’/ ‘you’) and each end user (the “user,” “you,” or “your”) regarding the access to and utilization of our associated internet properties, as linked and presented by us, our subsidiaries, and affiliated companies.

1. YOUR CONSENT

Your engagement with the NRIHelpLine platform, including but not limited to accessing, signing up, signing in, or browsing on www.NRIHelpLine.com, constitutes your full acceptance of these terms. By undertaking any form of interaction with the platform, you are expressing your agreement with these terms in their entirety. Should you not consent to any aspect of these terms, it is advised that you refrain from using the NRIHelpLine platform.

2. THE USER

2.1 Minimum Age Requirement – You must be at least 18 (Eighteen) years of age and above to access and use the platform. Use of the NRIHelpLine platform by anyone under 18 (Eighteen) years of age is strictly prohibited.

2.2 Signing Up – To gain access to all functionalities of the NRIHelpLine platform, you are required to register and open an account with us and to create a profile on the NRIHelpLine platform (“Account”). The registration on the platform is achieved through a mobile number-based OTP process. It needs to be noted that users with a mobile number from India will not be able to register on the mobile application as NRIHelpLine provides services to only individuals with status of ‘Non-Resident Indians’ and/or ‘Overseas Citizens of India’ (collectively, “Global Indians”) unless a Global Indian nominates a user in India as part of the annual subscription tiers.

2.3 Using NRIHelpLine

While using the Website or our platform, you will not attempt to or otherwise do any of the following:

  • Post content or items in inappropriate categories or areas on our Websites and services.

  • Infringe any laws, third-party rights, or our policies, such as the Code of Conduct.

  • Fail to deliver payment for services delivered to you.

  • Circumvent or manipulate our fee structure, the billing process, or fees owed to NRIHelpLine.

  • Post false, inaccurate, misleading, deceptive, defamatory, or offensive content, including personal information.

  • Take any action that may undermine the feedback or reputation systems, such as displaying, importing, or exporting feedback information or using it for purposes unrelated to the Website.

  • Transfer your NRIHelpLine account (including feedback) and Username to another party without our consent.

  • Distribute or post spam, unsolicited, or bulk electronic communications, chain letters, or pyramid schemes.

  • Distribute viruses or any other technologies that may harm Freelancer, the Website, or the interests or property of Freelancer users, including their Intellectual Property Rights, privacy, and publicity rights, or is unlawful, threatening, abusive, defamatory, invasive of privacy, vulgar, obscene, profane, or which may harass or cause distress or inconvenience to, or incite hatred of, any person.

  • Download and aggregate listings from our website for display with listings from other websites without our express written permission, “frame,” “mirror,” or otherwise incorporate any part of the Website into any other website without our prior written authorization.

  • Attempt to modify, translate, adapt, edit, decompile, disassemble, or reverse engineer any software programs used by us in connection with the Website.

  • Copy, modify, or distribute rights or content from the Website or NRIHelpLine copyrights and trademarks.

  • Harvest or otherwise collect information about Users, including email addresses, without their consent.

  • Use NRIHelpLine to facilitate money exchange, including but not limited to, cryptocurrency (e.g., bitcoin, ethereum, etc.)

2.4 Privacy Policy – Our privacy practices are set forth in our Privacy Policy. By using the NRIHelpLine platform in any way, you understand and acknowledge that the terms of the Privacy Policy apply to you, regardless of whether you have created an Account on the NRIHelpLine platform or not.

2.5 Termination – You may close your Account at any time by going to the mobile application settings and deleting your Account. We may permanently or temporarily suspend your use of the NRIHelpLine platform at any time for any reason, without any notice or liability to you. We may terminate your Account at any time for any or no reason. Refunds, if any, shall be subject to our Refunds Policy.

2.6 Feedback – We welcome your feedback and suggestions about how to improve the NRIHelpLine platform. Feel free to submit feedback to support@NRIHelpLine.com. By submitting feedback in this or in any other manner to us, you grant us the right, at our discretion, to use, disclose and otherwise exploit the feedback, in whole or part, without any restriction or compensation to you.

3. DESCRIPTION OF SERVICES

The NRIHelpLine platform operates as a technology-enabled services business, serving as an aggregator that facilitates connections between users seeking assistance and third-party service providers, vendor partners, affiliates, suppliers, professionals, and individuals collectively referred to as “Third-Party Services.” Additionally, the NRIHelpLine platform offers access to a marketplace, collectively known as “NRIHelpLine,” which is hosted as a separate progressive web application. It also includes links to other websites collectively referred to as “Third-Party Sites,” providing various services and products.

It is important to note that the presence of Third-Party Services and Third-Party Sites on the NRIHelpLine platform does not constitute an endorsement by us. The inclusion of these services and sites is for informational purposes, and users are encouraged to exercise discretion and conduct their own assessment before engaging with any Third-Party Services or accessing Third-Party Sites..

While the NRIHelpLine platform helps facilitate transactions and provides a venue for users and Third-Party Services and Third-Party Sites to negotiate and complete transactions, we do not directly provide, manufacture and/or own the services and products listed in the platform:



  • Accordingly, the contract formed at the completion of a sale for these Third-Party Services and Third-Party Sites is solely between the user and the Third-Party Services and Third-Party Sites, to be governed by specific services agreements or terms and conditions agreed by and between such parties i.e., the user in one part and the Third-Party Services/ Third-Party Sites on the other part (collectively the “Third Party Contracts”).

  • NRIHelpLine is not a party to the Third Party Contracts nor assumes any responsibility arising out of or in connection with the Third-Party Contracts nor is NRIHelpLine an agent for the Third-Party Services or of the Third-Party Sites.

  • The Third-Party Services and Third-Party Sites are responsible for the sale and fulfilment of the services and products (listed in the platform) and for dealing with any user claims or any other issue arising out of or in connection with the Third-Party Contracts.

  • Supplemental Terms – Certain services offered on the NRIHelpLine platform may require the user to enter into a separate agreement and/or be subject to additional terms. For example: A Letter of Authority, Power of Attorney for the NRIHelpLine platform and/or Third-Party Services to act on the user’s behalf for the fulfilment of certain services. In the event of any conflict between this Agreement and the terms of that separate agreement, the terms of this Agreement will control. The services as such shall be identified in the platform, and the user shall be informed about the nature of the service in the platform itself.

  • Third-Party Sites – The NRIHelpLine platform may contain links to other websites (the “Third-Party Sites”) for the user’s convenience. We do not control the linked websites or the content provided through such Third-Party Sites. Your use of Third-Party Sites is subject to the privacy practices and terms of use established by the specific linked Third-Party Site, and we disclaim all liability for such use. The availability of such links does not indicate any approval or endorsement by us.

  • No Endorsement or Verification – Please note that the NRIHelpLine platform enables access to third-party content, products, and services, and it offers interactions with third-parties that we do not control. We assume no responsibility for, nor do we endorse or verify the content, offerings or conduct of third-parties (including but not limited to the products or services offered by third-parties or the descriptions of the products or services offered by third-parties). We make no warranties or representations with respect to the accuracy, completeness or timeliness of any content posted by third-parties on the NRIHelpLine platform. In listing the Third-Party Sites and the Third-Party Services in our platform, we have relied on the representations, warranties and information provided to us by the owners/ administrators/ providers (as applicable) of the Third-Party Sites and the Third-Party Services, and we have not conducted any independent searches or due diligence regarding such owners/ administrators and providers Our warranties are subject to the Warranty Disclaimers given at 7 hereinafter.

NRIHelpLine:

NRIHelpLine presents a branded marketplace, referred to as ‘Marketplace,’ available for users on the NRIHelpLine platform. This marketplace encompasses various categories like Tax Complaince, Insurance, Investment Advisory, Travel Solutions, Gifting, Health, and Philanthropy.

Upon clicking the ‘NRI Services’ section within the NRIHelpLine mobile application, users acknowledge that they will leave the native NRIHelpLine platform. They will be redirected to the Marketplace, which is administered by a Third-Party Service provider. The Marketplace is hosted as a separate progressive web application, including links to additional websites collectively termed as the “Third-Party Sites” for user convenience.It is important to note that neither the Marketplace nor the Third-Party Sites, along with their content, are under our control. Users’ utilization of the Marketplace and Third-Party Sites is governed by the privacy practices and terms of use established by these entities. We disclaim any liability associated with such usage. The presence of links does not imply our approval or endorsement of the Marketplace or specific linked Third-Party Sites.


NRIInfoPedia:

NRIInfoPedia is a knowledge base established within the NRIHelpLine platform, offering concise insights to assist users in comprehending processes and requirements related to pertinent topics. The information presented in NRIInfoPedia is of a generic nature and is derived from publicly available data. It is essential to note that the content should not be interpreted as advice. Users are encouraged to seek personalized guidance for their specific situations, as individual circumstances may vary.

NRINews:
The NRIHelpLine platform has formed a partnership with a Third-Party News provider, specifically engaged in the creation and distribution of news content through various formats, modes, mediums, and global distribution methods, operating the “NRINews” platform under valid licenses and permissions from the government. We have entered into an agreement with NRINews, securing the necessary license to utilize its services for business purposes, specifically to provide news content to our Global Indian customer base.

It is important to clarify that the inclusion of news content from NRINews on the NRIHelpLine platform does not imply any approval or endorsement by us of any political or non-political views expressed within the news content. The purpose of integrating NRINews services into our platform is solely for the delivery of news content to our user base, and we do not endorse or take a stance on the views presented in the provided news content.

4. TERMS OF SALE:

On the NRIHelpLine platform, users have the opportunity to acquire subscription tiers, services offered under the nriserv section, and products offered under the nrihelp section. Subscription tiers can be directly purchased on the NRIHelpLine platform, while services and products are available for direct purchase from third-party services and third-party sites. By making any purchase on the NRIHelpLine platform, including from third-party services and third-party sites, users implicitly agree to these terms of sale. It is essential to note that these terms of sale are supplementary to the overarching terms and conditions, which are hereby incorporated. Users are advised to familiarize themselves with both sets of terms to ensure a comprehensive understanding of their obligations and rights when making purchases on the platform.

4.1 No Endorsement or Verification – The presence of services and products on the NRIHelpLine platform does not constitute an endorsement by us. We explicitly disclaim any representation, warranty, or guarantee regarding the accuracy, completeness, reliability, currency, or error-free nature of the service and product descriptions. Users should be aware that our platform provides information on services and products for reference purposes, and we do not assume responsibility for the accuracy or completeness of the provided information. It is advisable for users to independently verify details and exercise discretion before relying on the descriptions of services and products available on the NRIHelpLine platform.

4.2 Service and Product Reviews – All services and product related reviews are generated by the users and none of the reviews contain or reflect any opinions or views of the NRIHelpLine platform.

4.3 Order Acceptance and Cancellation Right –The issuance of an order number does not imply acceptance of an order or confirmation of an offer to sell. We retain the right to limit the quantity of items in any order and to decline service to any customer for any reason. Prior to order acceptance, verification of information may be necessary. Prices and the availability of services and products on the NRIHelpLine platform are subject to change. In the event of errors, we will rectify them upon discovery, reserving the right to annul any stated offer and correct any error, inaccuracy, or omission.At our sole discretion, we reserve the right to refuse or cancel any order for any reason. Users should be mindful of potential adjustments in pricing and product availability, and we appreciate their understanding of our policies in this regard.

4.4 Buyer Obligations – Without limiting any other provision of these Terms of Sale or the Terms and Conditions, the users are responsible for (a) reading the entire service and product listing before placing an order, and where available the terms and conditions posted by Third Party Sites; (b) maintaining correct and up to date payment, contact, and shipping information; and (c) honouring any return, refund or shipping arrangement entered into with the NRIHelpLine platform or a Third-Party Services provider and/or Third-Party Sites.

4.5 Our role –The NRIHelpLine platform facilitates payments on behalf of Third-Party Services providers and, for certain product categories, on Third-Party Sites (Marketplace). However, it does not act as the user’s agent. Instead, the platform acts solely for the limited purpose of accepting payments for services and products from the user on behalf of Third-Party Services providers and, for certain product categories, on Third-Party Sites (Marketplace).

Once the user makes a payment to the NRIHelpLine platform, their payment obligation to Third-Party Services providers and, for certain product categories, on Third-Party Sites (Marketplace) is considered complete. In the event that the NRIHelpLine platform fails to remit the corresponding amounts to Third-Party Services providers, these providers will not have any recourse against the user directly. Users can rely on the completion of their payment obligation through the NRIHelpLine platform.

4.6 Risk of Loss – For services and products purchased, the risk of loss and title for purchased services and products passes directly from the Third-Party Services providers and/or the Third-Party Sites to the user. The NRIHelpLine platform does not and therefore shall not transfer legal ownership of any services and products to the user.

4.7 Payment Gateway – The NRIHelpLine platform will be facilitating the payments for the purchase of subscriptions, services and products through the use of payment gateway service providers (collectively, “Third-Party Payment Gateways”), the details of which are provided below:

  • NRIServ transactions – powered by Stripe Inc

  • All NRIHelp purchases – powered by various Third-Party Payment gateways used by Third-Party Sites which are part of the NRIHelp marketplace

The NRIHelpLine platform disclaims all responsibility for the effective and secure functioning and management of the Third-Party Payment Gateways as the NRIHelpLine platform does not store and/or handle card holder data. Additionally, NRIHelpLine platform disclaims all responsibility from maintaining standards and requirements under the Payment Card Industry Data Security Standard (PCI DSS)

4.8 Additional Terms – The users’ access to or use of the payment gateways on the NRIHelpLine platform may be subject to, or require the user to accept, additional terms and conditions applicable to the Third-Party Payment Gateway provider. Additionally, the user may be charged additional fees when processing payments and NRIHelpLine platform is not responsible for any such fees and disclaims all liability in this regard.

4.9 Verification – You authorize the Third-Party Payment Gateways, directly or through third parties, to make any inquiries they consider necessary to verify your identity and information you provide. This may include (i) screening you against third-party databases or other sources, (ii) requesting reports from service providers, (iii) asking you to provide a form of government identification (e.g., driver’s license or passport), your date of birth, your address, and other information; or (iv) requiring you to take steps to confirm ownership of your email address, Payment Method(s). The Third-Party Payment Gateways reserve the right to terminate, suspend, or limit access to their payment gateway in the event they are unable to obtain or verify any of this information.

4.10 Currency – The NRIHelpLine platform has set up the Third-Payment Gateways in the following manner:

  • NRIServ transactions and subscriptions – The currencies available to make payments could be limited to Indian Rupees (INR) for regulatory or operational reasons. Note that if the currency of your card is different from INR, your payment may be processed outside of your country of residence and as a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. For example, if you purchase a service or product using a Singapore issued card, your payment may be processed outside of Singapore and banks and credit card companies may impose international transaction fees and foreign exchange fees. In addition, if you select to pay with a currency that is different than your Payment Method’s billing currency, your bank or credit card company may convert the payment amount to your billing currency associated with your Payment Method, based on an exchange rate and fee amount determined solely by your bank. The NRIHelpLine platform is not responsible for any such fees and disclaims all liability in this regard. Please contact your bank or credit card company if you have any questions about these fees or the applicable exchange rate.

  • NRIHelp transactions – The currencies available to make payments could be limited to Indian Rupees (INR) for regulatory or operational reasons. Note that if the currency of your card is different from INR, your payment may be processed outside of your country of residence and as a result, certain fees may apply and the amount listed on your card statement may be different from the amount shown at checkout. 4.11 Pricing Policy – The NRIHelpLine platform is committed to providing transparency in pricing to our users. However, due to the difference in the nature of the services that our users are seeking, there may be variations in how the price for a certain service is quoted.

NRIServ transactions:

  • All prices will be quoted in Indian Rupyee. This helps us in standardizing our pricing.

  • All prices will be quoted inclusive of all applicable taxes, fees and charges

  • Consultation fees – For services including but not limited to Property, Tax, Legal, Family Care and Self Care, we may charge a consultation fee before quoting the actual price of the transaction e.g. A needs discovery meeting with our empanelled Lawyer/Tax advisor or receiving candidate CVs for house help or nanny services. The consultation fees will be adjusted against the total payment. The consultation fees will not be refunded in case the customer chooses not to avail of the service after the initial consultation.

  • Initial estimate – Due to the uncertain nature of the scope of work in a few services, either due to complexity of the particular case, the requirements or the number of visits/travels etc., we may charge an initial estimate price and then a final payment. The initial estimate will be adjusted against the total payment.

  • The customer has the choice to accept the quote in all the cases above and proceed with the order.

  • Time to process a request for cancellation is a maximum of 7 business days. However, time lines for actual refund to take place and for the credit to reach your account would depend on the speed of banking channels and the credit card companies involved in the transaction (as may be applicable).

NRIHelp transactions:
The pricing policy of the Third-Party Services and Third-Party Sites will apply

4.12 Refund Policy – Any refund requested by the user for purchases made through the NRIHelpLine platform will be subject to the guidelines outlined in the Refund Policy. Additionally, specific services may be governed by their unique refund policies. In such instances, the individual refund policy of the particular service will be applicable in conjunction with this overarching policy, unless it contradicts it. In cases of contradiction, the individual service refund policy will take precedence over this general policy. Users are encouraged to review and adhere to both the overall Refund Policy and any specific refund policies associated with individual services.











NRIServ transactions:
Payments for any services on the NRIHelpLine platform will only be processed once the user engages in a chat with our NRIServ and explicitly agrees to proceed with the payment. In the event that a user has second thoughts and decides to opt out of an order after placing it, they are free to request a cancellation. If the cancellation request is made before the service is delivered, the user will receive a refund without any questions asked.Refunds for cancellations will be applicable as follows:

For one-time service/orders:

  • If an order could not be completed by NRIHelpLine for reasons attributed to NRIHelpLine’s performance on the task requirement, then a full refund will be given

  • If an order comes up for cancellation on request from the user, NRIHelpLine will deduct 10% of the order value as cancellation fee and the balance shall be refunded.

  • If an order could not be completed by NRIHelpLine for reasons other than customer request for cancellation, then refund will be given after deduction of 25% of the order value plus costs already incurred in executing the task. Reasons contributing to such a situation could include insufficient or delayed documentation / information from customer, errors/ mistakes not pertaining to NRIHelpLine’s scope of work, inability of customer to follow procedures or requirements or due to any other reasons beyond the control of NRIHelpLine.

  • The NRIHelpLine platform acts as a facilitator in India on behalf of the customer and cannot be held responsible for bureaucratic delays when dealing with government bodies / academic institutions / external agencies. All tasks are done an on best effort basis only. Our decision will be final and binding on this matter.

5. COPYRIGHT: LIMITED LICENSE:

TheThe mobile application, website, and all the contents, elements, and information contained on the NRIHelpLine platform are protected by copyright and intellectual property laws. Reproduction, copying, or redistribution of artwork, design, editorial content, layout, logos, service marks, trademarks, and any content from this platform is strictly prohibited without the express written permission of an executive officer of NRIHelpLine (BraveHeart Solutions Pvt. Ltd.), unless otherwise specified within this platform. Users are required to obtain explicit authorization before engaging in any form of reproduction, copying, or redistribution of the platform’s contents.

 

6. USE OF PLATFROM CONTENT:

Unless otherwise specified on the NRIHelpLine platform, users are granted permission to view, copy, and print the contents available on this platform under the following conditions:

  1. The content may be used solely for purposes related to the purchase and distribution of services provided by the NRIHelpLine platform and should not be disclosed to any third party without the express written consent of an executive officer of NRIHelpLine (BraveHeart Solutions Pvt. Ltd.).

  2. The content may not be modified or altered in any manner by the user.

  3. Any copy of the content or portion thereof must include the text of the “Copyright; Limited License” notice provided.

NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) retains the right to revoke this authorization at any time, and users are obligated to discontinue any such use immediately upon receiving written notice from NRIHelpLine (BraveHeart Solutions Pvt. Ltd.).

Ltd.) expressly disclaims any and all warranties and conditions of merchantability, title, accuracy and completeness, uninterrupted or error-free service, fitness for a particular purpose, quiet enjoyment, and non-infringement. Additionally, any warranties arising out of course of dealing or trade usage are disclaimed.

  • The quality or conduct of any third party you encounter in connection with your use of the platform.

  • We are NOT an agent of any Govt. Office/ Department/ Authority.

Without limiting the foregoing, you agree that NRIHelpLine (Braveheart Solutions Pvt. Ltd.) Specifically will not be liable for:(i) any indirect, incidental, consequential, special, or exemplary damages, including but not limited to loss of profits, business interruption, reputational harm, or loss of data, even if NRIHelpLine (Braveheart Solutions Pvt. Ltd.) Has been advised of the possibility of such damages or such damages are foreseeable, arising out of and in any way connected with your use of, or inability to use, the NRIHelpLine platform, services, or products; or(ii) any amount, in the aggregate, in excess of the greater of (a) ten thousand INR (INR 10000) or (b) the amounts paid or payable by you to NRIHelpLine (Braveheart Solutions Pvt. Ltd.) In connection with the NRIHelpLine platform in the twelve (12) month period preceding the applicable claim. Your use of the nrihelpline platform, services, products, information, or services is at your sole risk. These limitations of liability apply regardless of the legal theory under which damages are sought, and they will survive the termination of any agreement between you and NRIHelpLine (Braveheart Solutions Pvt. Ltd.).

In addition to the above, NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) shall assess the circumstances, and propose a way forward on a case-by-case basis:

  • If NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) has connected the user to an affiliate of NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) to provide a short-term service (any service that can be categorized as a one-time transaction) that the user has requested, NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) may refund a partial amount of the order as decided by NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) on a per-transaction basis;

  • If NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) has connected the user to an affiliate of NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) to provide a long-term service (any service that may require a period of 2 days and above / service that requires more than a one-time transaction) that the user has requested, NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) cannot be held responsible in the event of a liability arising between the user and the affiliate at a further point.

NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) shall not be held liable for delays or failures in performance resulting from causes beyond its reasonable control. Unauthorized modification of any information on the NRIHelpLine platform may lead to criminal prosecution. When using the NRIHelpLine platform for any purpose, you agree not to hold NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) liable for any damages resulting from hacking attacks.

While the NRIHelpLine platform may be utilized by users to request and schedule services with third-party providers, you acknowledge and agree that NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) bears no responsibility or liability to you concerning any services provided by third-party providers, except as expressly outlined in these terms. The limitations and disclaimer in this section do not intend to restrict liability or modify your rights as a consumer that cannot be excluded under applicable law.



9. INDEMNIFICATION:

you agree to fully indemnify, defend, and hold NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) And its directors, officers, employees, consultants, and other representatives, harmless from and against any and all claims, damages, losses, costs (including reasonable attorneys’ fees and fees for court/tribunal proceedings), and other expenses that arise directly or indirectly out of or from:

(a) your breach of any part of this agreement.

(b) any allegation that any materials you submit to us or transmit to the NRIHelpLine platform infringe or otherwise violate the copyright, patent, trademark, trade secret, or other intellectual property or other rights of any third party.

(c) your activities in connection with the NRIHelpLine platform or other websites to which the NRIHelpLine platform is linked.

(d) your fraudulent activities on or through the platform, negligent or willful misconduct.

This indemnification provision is applicable to the maximum extent permitted by law.

10. TRADEMARK INFORMATION:

The trademarks, logos, and service marks (“Marks”) displayed and/or listed on the NRIHelpLine platform are the property of NRIHelpLine (BraveHeart Solutions Pvt. Ltd.), their affiliates, or other third parties. You are not permitted to use the Marks without the prior written consent of the respective trademark owner, whether it be NRIHelpLine (or its affiliates) or such third party that owns the Marks. Nothing contained on the NRIHelpLine platform should be construed as granting, by implication, estoppel, or otherwise, any license or right to use any Marks displayed on the NRIHelpLine platform without the written permission of the trademark owner or such third party.

11. GOVERNING LAW AND JURISDICTION:

The NRIHelpLine platform is controlled by NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) from its office at SCO 7, Second Floor Sector 30, Chandigarh -160030 INDIA. By accessing this platform, you agree that all matters relating to your access to, or use of, this platform shall be governed by the statutes and laws of the India Union, without regard to the conflicts of laws and principles. NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) makes no representation that materials on this platform are appropriate or available for use in other locations, and accessing them from territories where their contents are illegal is prohibited. Those who choose to access the NRIHelpLine platform from other locations do so on their own initiative and are responsible for compliance with local laws. Your use of the NRIHelpLine platform constitutes your agreement and acceptance of these terms.

12. DISPUTE RESOLUTION:

12.1 In the event of a dispute or difference, relating to, arising out of or in connection with any of the matters set out in this Agreement including any disputes and differences relating to the interpretation of the Agreement or any clause thereof (“Dispute”), the Parties to the Dispute shall engage in mediation proceedings through the business heads of both Parties, in good faith to resolve the Dispute amicably. In case the Dispute is not settled within 30 (thirty) calendar days (the “Initial Period”), it shall be referred for arbitration. Any Dispute during subsistence of the Agreement or thereafter between the parties, if not settled within the Initial Period set forth above, shall be settled by arbitration before a single arbitrator in accordance with the provisions of the Arbitration Rules of THE ARBITRATION AND CONCILIATION ACT, 1996 and rules framed there under and any amendment, modification, statutory enactment thereto from time to time and shall be referred to the sole Arbitration of an Arbitrator jointly appointed by the Parties to this Agreement. It is made clear that the venue of Arbitration proceedings shall be Chandigarh and no objection shall be entertained from any Parties in this regard. The seat of the arbitration shall be Dubai, UAE, and the language of the arbitration shall be English. The cost of the Arbitration proceedings shall be borne equally by the Parties to this Agreement. The award of the arbitrator shall be final, conclusive and binding on the Parties.

12.2 Notwithstanding the provisions of §12.1, it is hereby agreed that NRIHelpLine, in pursuance of its rights reserved herein, shall have the right to initiate proceedings against you in any court or multiple courts of competent jurisdiction (including but not limited to the Chandigarh Courts) whether concurrently or not.

13. LICENSE TO USE:

Subject to your compliance with these Terms, NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) grants you a limited, non-exclusive, revocable, non-transferable license to:

(i) Access and use the NRIHelpLine platform on your personal device solely in connection with your use of the platform.

(ii) Access and use any content, information, and related materials that may be made available through the platform, in each case solely for your personal, non-commercial use.

Any rights not expressly granted herein are reserved by NRIHelpLine (BraveHeart Solutions Pvt. Ltd.). This license is not absolute and/or irrevocable, and NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) reserves the right to revoke such license at any time at its sole discretion without further liability towards you.

14. UPDATES:

The NRIHelpLine platform may periodically check for updates, and download and install them for you. You agree to receive these automatic updates without any additional notice. These updates may also include amendments to the Terms and Conditions and Privacy Policy and it is incumbent upon you to be updated on the same. Should you choose not to install such updates, access to services may be limited or stopped entirely, and NRIHelpLine shall not be liable to any extent, under such circumstances.

15. RESTRICTIONS OF USE:

Except as strictly permitted by applicable law or by the express written permission of NRIHelpLine, you shall not:

(i) Remove any copyright, trademark, or other proprietary notices from any portion of the NRIHelpLine platform.

(ii) Reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast, or otherwise exploit the NRIHelpLine platform except as expressly permitted by NRIHelpLine (BraveHeart Solutions Pvt. Ltd.).

(iii) Decompile, reverse engineer, or disassemble the NRIHelpLine platform.

(iv) Link to, mirror, or frame any portion of the NRIHelpLine platform.

(v) Cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the NRIHelpLine platform or unduly burdening or hindering the operation and/or functionality of any aspect of the NRIHelpLine platform.

(vi) Attempt to gain unauthorized access to or impair any aspect of the NRIHelpLine platform or its related systems or networks.

16. NETWORK ACCESS & DEVICES:

Users are responsible for obtaining the data network access necessary to use the NRIHelpLine platform. Users shall be responsible for the mobile network and all messaging rates as per the network they chose for obtaining and accessing the NRIHelpLine platform and all related hardware and software as necessary to be compatible for using the NRIHelpLine platform on a wireless enabled service platform. NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) does not assure the performance of the NRIHelpLine platform on any specific device or hardware. All services provided by the NRIHelpLine platform maybe subject to bugs, errors, malfunctions and delays inherent in the use of the Internet and electronic communications on a routine basis.

17. IMPORTANT NOTE:

In various instances, the NRIHelpLine platform may be linked to other websites created and managed by other companies or affiliates, whether public or private. NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) offers these links for the user information and interests, and when you access any such websites, you are logging off from the NRIHelpLine platform, and therefore our information management policies are no longer applied there.

18. CHANGES TO THE TERMS AND CONDITIONS:

We reserve the right to:

  • Change the terms of this Agreement, consistent with applicable law.

  • Modify the NRIHelpLine platform, including eliminating or discontinuing any information, services, or other features in whole or in part.

  • Deny or terminate your NRIHelpLine account, or use of and access to the NRIHelpLine platform.

If we make material changes to the Terms, we will notify you through the NRIHelpLine platform, by email, or by other means, to provide you an opportunity to review the changes before they become effective. You agree that your continued use of the NRIHelpLine platform after such changes become effective constitutes your acceptance of the changes. If you do not agree with any updates to this Agreement, you may not continue to use the NRIHelpLine platform. Please revisit this page periodically to ensure your familiarity with the most current version of the Terms and Conditions. Any changes to the Terms will be effective on a going-forward basis.

19. FORCE MAJEURE:

The NRIHelpLine platform shall not be held liable for the failure or delay in the performance of its obligations under this Agreement to the extent that such failure or delay is caused by matters beyond its reasonable control. These include, but are not limited to, events such as war, rebellion, civil commotion, strikes, lockouts, and industrial disputes, as well as natural occurrences like fire, explosion, earthquake, pandemics, epidemics, government actions, or other seismic activity. Acts of God, flood, drought, or adverse weather conditions are also encompassed within these circumstances. In the event of such occurrences, notice will be given to the user promptly. If the NRIHelpLine platform is affected by Force Majeure, it will take sufficient measures to eliminate the impact and reduce losses caused by such events.

20. MISCELLANEOUS:

Languages – The English version of this Agreement will be the binding version, and all communications, notices, arbitrations, and other actions and proceedings relating to this Agreement will be made and conducted in English, even if translations of this Agreement into native languages are provided in certain countries. To the extent permitted by law, any inconsistencies among different translations will be resolved in favor of the English version.

Assignment – No terms of this Agreement, nor any right, obligation, or remedy hereunder, is assignable, transferable, delegable, or sublicensable by you except with NRIHelpLine’s (BraveHeart Solutions Pvt. Ltd.) prior written consent. Any attempted assignment, transfer, delegation, or sublicense shall be null and void. NRIHelpLine (BraveHeart Solutions Pvt. Ltd.) may assign, transfer, or delegate this Agreement or any right, obligation, or remedy hereunder in its sole discretion.

Waiver – Our failure to assert a right or provision under this Agreement will not constitute a waiver of such right or provision.

Headings –Any heading, caption, or section title contained is inserted only as a matter of convenience and in no way defines or explains any section or provision hereof.

Further Assurances – You agree to execute a hard copy of this Agreement and any other documents and take any actions at our expense that we may request to confirm and effect the intent of this Agreement and any of your rights or obligations under this Agreement.

Entire Agreement and Severability – This Agreement supersedes all prior terms, agreements, discussions, and writings regarding the NRIHelpLine platform and constitutes the entire agreement between you and us regarding the NRIHelpLine platform. If any part of this Agreement is found to be unenforceable, that part will not affect the enforceability of the remaining parts of the Agreement, which will remain in full force and effect.

Survival – The following provisions will survive expiration or termination of this Agreement: Section 7 (Warranty Disclaimer), Section 8 (Limitation of Liability), Section 9 (Indemnification), Section 10 (Trademark Information), Section 11 (Governing Law and Jurisdiction), Section 12 (Dispute Resolution), Section 15 (Restrictions of Use), and Section 20 (Miscellaneous).
